SeeMyLiving.com Terms of Use Agreement

SeeMyLiving.com is a social networking website which allows members to present their homes via unique on-line personal accounts and allows visitors to browse these homes. All contents, features, applications ("the Services") offered within www.seemyliving.com ("SeeMyLiving", "Site") are operated by SeeMyLiving Ltd. ("The Company", "we" or "us").

By accessing or using www.seemyliving.com you confirm that you have read, understand and agree to be bound with this Terms of use Agreement ("Agreement"), wheter you are a Visitor (you simply browse the SeeMyLiving website) or a Member (you are registered with SeeMyLiving), collectively called User. We reserve the right, at our sole discretion, to modify the Agreement at any time without further notice. The only valid version of Agreement is the one accessible at this page, the last update of Agreement is indicated by the date of last revision at the top of this page. Your continued access or use of SeeMeLiving signifies your acceptance of valid version of Agreement. You are only authorized to use SeeMyLiving if you agree to abide the valid version of this Agreement and all aplicable laws. It is your responsibility to check, whether the Agreement was revised.

You may post, transmit or share any informations and data (ID data, texts, photos, posts, comments, messages - collectivelly the "User Content") through the SeeMyLiving Service, which do not include content listed in section Forbidden Content in this document and do not violate any applicable law. You are solely responsible for User Content presented through your SeeMyLiving account and for its any and all use. The Company assumes no responsibility or liability (a) for any unauthorized, impermissible or this Agreement or applicable law violating material; and (b) any consequences caused by the User Content presented through your SeeMyLiving account. You agree to notify SeeMyLiving (through "Send message to SeeMyLiving Headquarters" link at the bottom of any SeeMyLiving website page) if you suspect any misuse of the Site generally or any unauthorized use of your account or access to your password.

The Company may, but is not obliged to, review the Site and may delete or remove the site content including User Content in its sole discretion, at any time, for any or no reason, without prior notice and explanation, and without liability. The Company reserves the right to remove or block your SeeMyLiving account (terminate or suspend your Membership) if you violate this Agreement or any applicable law. You may terminate your Membership at any time, for any reason by writing a message to the Company via "Send message to SeeMyLiving Headquarters" link at the bottom of any SeeMyLiving website page.

ELIGIBILITY

SeeMyLiving Membership is void where prohibited. By using the Services you represent and warrant that (a) all registration information you submit is accurate, current and complete; (b) you are 13 years of age or older, (c) you do not participate in SeeMyLiving contests if you are younger than 18 years of age, (d) you maintain the security and confidentiality of your password; (e) your use of SeeMyLiving does not violate any applicable law or regulation. We may delete your SeeMyLiving account without any prior notice or explanation if we believe you are under 13 years of age, we believe that you are under 18 years of age and you represent yourself as 18 or older, or if we believe you are over 18 and you represent yourself as under18.

USE

All the Services are on non-commercial basis. SeeMyliving reserves the right to remove commercial content such as advertisements, affiliate links, and other forms of solicitation in its sole discretion and/or terminate User account where such a content occures. Illegal and/or unauthorized use of SeeMyLiving Services, including collecting usernames, email addresses of Members for the purpose of sending unsolicited email or unathorized framing of or linking to the SeeMyLiving Website, is prohibited.

PROPRIETARY RIGHTS

By posting User Content to the Site, you automatically grant, and you represent and warrant that you have the right to grant, to the Company a non-exclusive, fully-paid, royalty-free, sublicensable and worldwide license to use, copy, adjust, publicly preform, publicly dislay and distribute such Content solely on or through the SeeMyLiving. The license does not grant SeeMyLiving the right to sell or otherwise distribute User Content outside the Site. If you remove your User Content from the Site, the license will automatically terminate. SeeMyLiving does not claim any ownerhip rights in User Content. Even the license is granted you retain full ownership of your User Content.

Site Content (all designs, graphics, texts, pictures, videos, informations, appliactions and other files except User Contents) is proprietary property of the Company with all rigths reserved. If you are eligible for use of the Site, you are granted a limited, revocable, nonsublicensable license to access and use (reproduce and display) the Site and the Site Content solely for your personal non-commercial use in connection with viewing the Site and using the Services. Such a license does not allow you to copy, modify, publish, distribute, perform, dislay, or sell any User Content appearing on SeeMyLiving Site except your own one.

FORBIDDEN CONTENT

It´s prohibited to post on or throught the SeeMyLiving any form of content violating this Agreement or any applicable law and regulation, namely it is strictly forbidden to post anything with threatening, damaging, misleading, racist, defamatory, rancorous, indecent, aggressive, vulgar, denigrating, insulting, violent, obscene, pornographic or any illegal activity promoting content and content which in any way jeopardize health and existence of any human or animal being. It is also strictly prohibited to use the Site for spamming (either maunal or software assisted) and to treat the Site with any computer code, files or programs (viruses, worms, ...) that anyhow affect the funcionality of computer software or hardware, or permit the unauthorized use of computer network. The Company reserves the rights in its sole discretion to investigate and take appropriate legal action if any illegal content occurs.

COPYRIGHTS AND INTELLECTUAL PROPERTY

We do respect the intellectual property rights of others, and expect users of SeeMyLiving to do the same. Users may not upload, post or otherwise transmit on the Site any material that violate any intellectual property rights of another party. The Company reserves the right in its sole discretion to terminate the account of infringers.

DISCLAIMERS

The Company is not responsible for and makes no warranties, express or implied, as to the User Content or Third Party applications, Software or Content posted on the Site or in connection with the Services, whether posted or caused by users of the Site, by third parties or by any of the equipment or programming associated with or utilized in the Site or Services. Although we provide rules for conducting and posting, we do not monitor and are not responsible for any content posted, transmite or shared by users of the Site. The Company is not responsible for the conduct, wheter online or offline, of any user of SeeMyLiving. We assume no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, user communication. We are not responsible for any technical malfunction or other problems of any telephone network or service, computer systems, servers or providers, computer equipment, software, failure of email or players on account of technical problems or traffic congestion on the Internet or at any Site or combination thereof, including any injury or damage to user´s or to any person's computer, or other hardware or software, related to or resulting from participation or downloading materials in connection with the SeeMyLiving Services. Under no circumstances will the Company be responsible for any loss or damage, including personal injury or death, resulting from anyone´s use of the Site or the Sevices, any User Content or Third Party applications, Software and Content posted on or through the Site or the Services, or from the conduct of any users of the SeeMyLiving and the Services, whether online or offline. The Site and the Services are provided "AS-IS" and the Company disclaims any and all representations and warranties, wheter expressed or implied, of fitness for a particular purpose or non-infringement. The Company cannot guarantee and does not promise any specific results from use of the Site and/or the Services.

LIMITATION ON LIABILITY

IN NO EVENT WILL COMPANY BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL OR PUNITIVE DAMAGES, INCLUDING FOR ANY LOST PROFITS OR LOST DATA ARISING FROM YOUR USE OF THE SITE OR THE SERVICES EVEN IF THE COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, COMAPNY'S LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO COMPANY FOR THE SERVICES DURING THE TERM OF MEMBERSHIP.

DISPUTES

The Agreement shall be governed by the laws of Czech Republic, a member of European Union, without regard to its conflict of law provisions. You and the Company agree to submit to the exclusive jurisdiction of the courts located within the Czech Republic to resolve any dispute arising out of the Agreement or the Services. EACH OF THE PARTIES HEREBY KNOWINGLY, VOLUNTARILY AND INTENTIONALLY WAIVES ANY RIGHT IT MAY HAVE TO A TRIAL BY JURY IN RESPECT OF ANY LITIGATION (INCLUDING BUT NOT LIMITED TO ANY CLAIMS, COUNTERCLAIMS, CROSS-CLAIMS, OR THIRD PARTY CLAIMS) ARISING OUT OF, UNDER OR IN CONNECTION WITH THIS AGREEMENT. FURTHER, EACH PARTY HERETO CERTIFIES THAT NO REPRESENTATIVE OR AGENT OF EITHER PARTY HAS REPRESENTED, EXPRESSLY OR OTHERWISE, THAT SUCH PARTY WOULD NOT IN THE EVENT OF SUCH LITIGATION, SEEK TO ENFORCE THIS WAIVER OF RIGHT TO JURY TRIAL PROVISION. EACH OF THE PARTIES ACKNOWLEDGES THAT THIS SECTION IS A MATERIAL INDUCEMENT FOR THE OTHER PARTY ENTERING INTO THIS AGREEMENT.

INDEMNITY

You agree to indemnify and hold the Company, its subsidiaries, and affiliates, and their respective officers, agents, partners and employees, harmless from and against any loss, liability, claim, or demand, including reasonable attorneys' fees, arising out of or in connection with any User Content, any Third Party applications, Software ot Content you share or post on or through the Site, your use of the Site or the Services, your conduct in connection with the Site or the Services or with other users of the Site or Services, or any violation of this Agreement or of any law or the rights of any third party.

OTHER

This Agreement constitutes the entire agreement between you and the Company regarding the use of the Site and/or the Services. The failure of Company to exercise or enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision. This Agreement operates to the fullest extent permissible by law. If any provision of this Agreement is unlawful, void or unenforceable, then that provision shall be deemed severable from this Agreement and shall not affect the validity and enforceability of any remaining provisions. SeeMyLiving is a trademark of SeeMyLiving, Ltd.
